Corporate Counsel

Grid Dynamics is seeking a highly motivated individual for our Corporate Counsel position, responsible for managing legal, regulatory, and governance matters within a publicly traded technology company. This is a strategic, cross-functional role requiring strong legal expertise, industry knowledge, and compliance skills.

Essential functions

1. Public Company Compliance & Securities Law
2. Ensure compliance with SEC rules, including quarterly and annual filings (10-K, 10-Q, 8-K), proxy statements, shareholder communications, and earnings releases.
3. Oversee insider trading policies and Section 16 filings.
4. Lead SOX compliance (Sections 302 and 404) in collaboration with CFO and Internal Audit.
5. Support Regulation FD compliance related to investor interactions and disclosures.

Corporate Governance

1. Support Board and Committee meetings, maintain governance documents, minutes, and charters.
2. Advise leadership on governance trends, shareholder activism, and ESG expectations.

Commercial Contracting

1. Draft, review, and negotiate commercial agreements such as MSAs, SoWs, NDAs, software licensing, SaaS contracts, and partnership agreements.

Legal Department Management

1. Advise executive leadership, build and lead a legal team, manage outside counsel, and oversee legal budgets and vendor relationships.

Cross-Functional Collaboration

1. Partner with Finance, HR, IT Security, and Investor Relations to improve legal operations and reduce legal spend.

Qualifications

1. J.D. from an accredited U.S. law school, active membership in a U.S. state bar (California preferred).
2. 8-12+ years of legal experience in law firms and in-house roles.
3. Deep knowledge of U.S. securities law, SEC reporting, SOX, and public company governance.
4. Experience in commercial contracting, tech transactions, and IP.
5. Support for M&A, capital markets, or strategic transactions.
6. Excellent communication, judgment, and stakeholder management skills.
7. Ability to lead and scale a legal function in a fast-growing environment.
