Interim Commercial Counsel

Major, Lindsey & Africas Interim Legal Talent group has an immediate need for an Interim Commercial Counsel. Overview: Our client seeks a skilled commercial counsel to assist with securities filings and contract review, negotiation, and drafting. Company: Our client is a clinical stage life sciences organization using mRNA applications to treat autoimmune diseases. Experience: Eight or more years of transactional experience acquired in a top law firm or in-house environment advising life sciences clients. Location: East Coast remote.

Responsibilities Include:

  • Review, negotiate, and draft myriad commercial agreements including main service agreements (MSAs), material transfer agreements (MTAs), non-disclosure agreements (NDAs), joint venture agreements (JVAs), consulting agreements, and licensing agreements.
  • Assist with Phase III clinical trial agreements as needed.
  • Assist with the preparation and filing of securities and governance materials including: 10-Qs, 10-Ks, 8Ks, and registration statements (S-1s and S-3s).
Qualifications Include:  
  • Excellent academic credentials including a law degree from a well-respected, national law school.
  • Eight or more years legal experience acquired in a top law firm or in-house environment advising life sciences clients on commercial matters.
  • Experience negotiating and drafting a variety of commercial agreements including MSAs, MTAs, NDAs, JVAs, consulting agreements, and licensing agreements.
  • Command of issues associated with preparation and filing of 10-Qa, 10-Ks, 8-Ks, S-1s, and S-3s.
